This Hugston Contributions License (the “License”) governs the use, access, download, reproduction, modification, distribution, hosting, deployment, evaluation, or other interaction with any model release, repository, code, weights, adapters, LoRAs, deltas, scripts, applications, prompts, templates, configurations, documentation, packaging, benchmarks, evals, metadata, model cards, assets, or related materials that are published, maintained, modified, or distributed by Hugston and identified as subject to this License (collectively, the “Release”).

This License applies only to the extent of Hugston’s own original contributions to the Release and does not grant rights in any third-party materials except to the extent, if any, that Hugston is legally permitted to do so.

By accessing or using any part of the Release, you agree to be bound by this License. If you do not agree, do not access, use, copy, modify, distribute, host, deploy, or rely on the Release.

1. Parties and Scope

1.1. This License is granted by Hugston and, where applicable, its affiliates, subsidiaries, contractors, contributors, maintainers, successors, assigns, licensors, and service providers (collectively, “Hugston”).

1.2. The Release may include, depend on, interface with, derive from, incorporate, modify, adapt, fine-tune, merge, quantize, wrap, package, or otherwise relate to models, repositories, scripts, software, libraries, frameworks, datasets, APIs, services, applications, documentation, media, prompts, tools, or other materials originating from third parties (“Third-Party Materials”).

1.3. This License governs only Hugston’s legal rights, if any, in its own original contributions to the Release, and nothing in this License shall be interpreted as claiming ownership of or relicensing any Third-Party Materials beyond what applicable law and upstream licenses permit.

2. Ownership; Reservation of Rights

2.1. The Release is licensed, not sold.

2.2. As between you and Hugston, Hugston retains all right, title, and interest, including all copyright and other intellectual property rights, in and to Hugston’s original contributions to the Release, including, where applicable and legally protectable:

a. original modifications made by the Hugston team;
b. original scripts, wrappers, tools, patches, glue code, and automation;
c. original prompts, templates, settings, configurations, and deployment logic;
d. original documentation, packaging, arrangement, annotations, curation, eval materials, model cards, branding, naming, and presentation;
e. original adapters, deltas, LoRAs, fine-tuning artifacts, or other model-related contributions, but only to the extent Hugston is legally permitted to claim rights in them;
f. any other original authorship created by Hugston and lawfully included in the Release.

2.3. All rights not expressly granted under this License are reserved by Hugston and/or the respective owners of Third-Party Materials.

2.4. Except for Hugston’s original contributions, all Third-Party Materials remain owned by their respective owners and remain subject to their respective copyrights, licenses, notices, restrictions, and obligations.

2.5. Hugston claims no ownership in Third-Party Materials except to the limited extent, if any, permitted by applicable law.

3. No Claim Over Upstream Materials

3.1. If the Release is based on, derived from, adapted from, fine-tuned from, merged from, quantized from, or otherwise built using any third-party model, software, codebase, dataset, or other material, the underlying Third-Party Materials remain subject to the rights of their respective owners.

3.2. This License does not replace, nullify, supersede, or waive any upstream license, notice, attribution requirement, use restriction, distribution condition, share-alike term, source-availability term, copyleft obligation, acceptable use policy, or other legal condition applicable to Third-Party Materials.

3.3. In the event of any conflict between this License and any mandatory term applicable to Third-Party Materials, the applicable third-party term shall control solely to the extent legally required for that Third-Party Material.

4. Limited License to Hugston Contributions

4.1. Subject to your strict compliance with:
a. this License;
b. all licenses and terms applicable to Third-Party Materials; and
c. all applicable laws, regulations, and third-party rights,

Hugston grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use Hugston’s original contributions included in the Release solely as part of your lawful use of the Release.

4.2. This License does not grant you any broader right to use, distribute, commercialize, host, sublicense, or exploit the Release than is otherwise allowed by all applicable upstream and third-party terms.

4.3. You may exercise rights in the Release only to the extent that:
a. such exercise is permitted by applicable upstream licenses and laws; and
b. your use does not violate any notice, attribution, pass-through, distribution, model-use, or other compliance obligation.

5. Third-Party Materials

5.1. The Release may contain, rely on, or have been produced using Third-Party Materials, including but not limited to:

base models;
checkpoints;
datasets;
repositories;
scripts;
libraries;
frameworks;
tools;
applications;
services;
prompts;
evaluation materials;
documentation;
media or content.

5.2. All Third-Party Materials remain the property of their respective owners.

5.3. Such Third-Party Materials may be subject to separate terms, including but not limited to:

copyright notices;
attribution requirements;
source disclosure obligations;
redistribution restrictions;
commercial-use restrictions;
acceptable-use conditions;
licensing fees;
patent clauses;
open-source obligations;
source-available conditions;
copyleft obligations;
model-specific use restrictions.

5.4. You are solely responsible for identifying, reviewing, understanding, and complying with all such applicable third-party terms.

5.5. Hugston makes no representation, warranty, covenant, or guarantee that:
a. any Third-Party Materials were or are correctly labeled, licensed, cleared, attributed, or authorized for your intended use;
b. any Third-Party Materials are free from infringement claims, license defects, or usage restrictions;
c. any Third-Party Materials remain available, compatible, secure, lawful, or unchanged.

5.6. To the maximum extent permitted by law, Hugston shall have no responsibility or liability whatsoever for any Third-Party Materials or any claims arising from them.

6. User Responsibility

6.1. You are solely responsible for all use of the Release.

6.2. Without limitation, you are solely responsible for:
a. verifying that your use of the Release is lawful;
b. determining whether the Release contains or depends on Third-Party Materials;
c. ensuring compliance with all upstream and downstream license obligations;
d. preserving all notices, attributions, and pass-through terms required by law or contract;
e. reviewing outputs before use or reliance;
f. implementing testing, safeguards, monitoring, moderation, validation, and human oversight;
g. obtaining any required consents, rights, permissions, notices, or approvals.

6.3. You assume all risks relating to use of the Release, including risks from defects, inaccuracies, hallucinations, bias, harmful outputs, security vulnerabilities, incompatibilities, outages, compliance failures, and intellectual property claims.

7. Restrictions

You shall not, and shall not permit others to:

a. remove, obscure, falsify, or alter any copyright, attribution, trademark, provenance, license, disclaimer, or notice included with the Release;
b. falsely claim ownership over Third-Party Materials;
c. falsely state or imply that Hugston originated materials it did not originate;
d. represent that the Release is free of third-party rights or third-party obligations;
e. use the Release in violation of any applicable law, regulation, order, sanctions program, or third-party right;
f. use the Release in any way that would cause Hugston legal exposure arising from your conduct;
g. use Hugston’s name, marks, branding, or model names except as expressly permitted in writing;
h. imply sponsorship, endorsement, certification, partnership, or approval by Hugston without prior written consent;
i. remove or bypass technical, access, or distribution controls, if any;
j. use the Release in any high-risk or safety-critical setting where failure could cause death, injury, property damage, environmental harm, or major financial or legal harm, unless you alone assume full responsibility and such use is otherwise lawful.

8. Modifications and Derivative Work

8.1. To the extent applicable law and upstream licenses permit, you may create modifications or derivative works only in compliance with:
a. this License;
b. all applicable Third-Party Material licenses; and
c. all applicable laws.

8.2. Hugston does not claim ownership over your independent original work except to the extent your work includes or depends on Hugston’s original contributions and applicable law grants Hugston enforceable rights in those contributions.

8.3. Nothing in this License shall be interpreted as transferring to Hugston ownership of upstream materials, of third-party materials, or of your independent original contributions beyond what law expressly allows.

8.4. Any redistribution of modified or derivative versions must preserve all required notices, disclaimers, attributions, and applicable license terms.

9. Outputs

9.1. The Release may generate or influence outputs, predictions, text, code, media, labels, embeddings, or other results (“Outputs”).

9.2. Outputs may be inaccurate, incomplete, misleading, offensive, unlawful, biased, insecure, or non-unique.

9.3. Hugston makes no representation or warranty that any Output:
a. is correct, reliable, safe, lawful, merchantable, or fit for any purpose;
b. does not infringe any right;
c. is unique or original;
d. is suitable for production, commercial, regulatory, clinical, financial, legal, or safety-critical use.

9.4. You are solely responsible for reviewing, validating, filtering, testing, and assuming all risks relating to Outputs.

10. Compliance With Laws and Rights

10.1. You are solely responsible for ensuring that your use of the Release complies with all applicable:

intellectual property laws,
privacy and data protection laws,
consumer protection laws,
employment laws,
discrimination laws,
accessibility laws,
export control laws,
sanctions laws,
AI regulations,
product liability laws,
platform rules,
contractual obligations.

10.2. You are solely responsible for ensuring that your use of the Release does not violate any copyright, patent, trademark, trade secret, database right, publicity right, privacy right, contractual right, or other proprietary or personal right.

11. No Support; No Obligation to Maintain

11.1. Hugston has no obligation to provide support, maintenance, updates, fixes, patches, security remediation, hosting, continued availability, compatibility updates, or documentation unless expressly agreed in writing.

11.2. Hugston may modify, suspend, remove, disable, reclassify, withdraw, or discontinue the Release or any part of it at any time, with or without notice, and without liability.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE RELEASE, INCLUDING HUGSTON’S CONTRIBUTIONS AND ANY ASSOCIATED MATERIALS, IS PROVIDED “AS IS,” “AS AVAILABLE,” “WITH ALL FAULTS,” AND WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND.

HUGSTON EXPRESSLY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, CONDITIONS, AND GUARANTEES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF:

TITLE,
MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE,
NON-INFRINGEMENT,
QUIET ENJOYMENT,
ACCURACY,
COMPLETENESS,
SECURITY,
RELIABILITY,
AVAILABILITY,
PERFORMANCE,
COMPATIBILITY,
INTEROPERABILITY,
REGULATORY COMPLIANCE,
ERROR-FREE OPERATION,
OR THAT DEFECTS WILL BE CORRECTED.

HUGSTON DOES NOT WARRANT THAT THE RELEASE, OR ANY PART OF IT, WILL:
a. meet your requirements;
b. achieve any intended result;
c. be lawful for your intended use;
d. be free from claims by third parties;
e. remain available or supported;
f. function without interruption, error, corruption, or security issues.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUGSTON ALSO DISCLAIMS ANY RESPONSIBILITY FOR THIRD-PARTY MATERIALS, THEIR LICENSING STATUS, THEIR LEGAL SUFFICIENCY, THEIR SECURITY, OR THEIR SUITABILITY FOR ANY PURPOSE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

13.1. HUGSTON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES.

13.2. HUGSTON SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, MODELS, SAVINGS, OPPORTUNITY, OR USE.

13.3. HUGSTON SHALL NOT BE LIABLE FOR ANY CLAIMS ARISING OUT OF OR RELATING TO:
a. THIRD-PARTY MATERIALS;
b. YOUR USE OR MISUSE OF THE RELEASE;
c. YOUR FAILURE TO COMPLY WITH ANY UPSTREAM OR THIRD-PARTY LICENSE;
d. ANY OUTPUTS OR RELIANCE ON OUTPUTS;
e. ANY INTELLECTUAL PROPERTY CLAIM;
f. ANY REGULATORY OR COMPLIANCE CLAIM;
g. ANY SECURITY INCIDENT, OUTAGE, OR MALFUNCTION;
h. ANY COMBINATION OF THE RELEASE WITH OTHER SOFTWARE, MODELS, DATA, SYSTEMS, OR SERVICES;
i. ANY UNAUTHORIZED ACCESS, COPYING, DISTRIBUTION, HOSTING, OR DEPLOYMENT;
j. ANY LOSS OR CORRUPTION OF DATA OR SYSTEMS.

13.4. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUGSTON’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE RELEASE OR THIS LICENSE SHALL NOT EXCEED THE GREATER OF:
a. THE AMOUNT PAID BY YOU TO HUGSTON, IF ANY, FOR THE SPECIFIC RELEASE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
b. ONE HUNDRED U.S. DOLLARS (USD $100).

13.5. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, EQUITY, OR OTHERWISE, AND EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

14. Indemnification

You shall defend, indemnify, and hold harmless Hugston from and against any and all claims, demands, suits, proceedings, investigations, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

a. your use, misuse, distribution, hosting, deployment, modification, or exploitation of the Release;
b. your breach of this License;
c. your failure to comply with any applicable third-party or upstream license;
d. your violation of any law, regulation, order, or right;
e. your products, systems, services, deployments, or applications using or relying on the Release;
f. your use of Outputs;
g. your data, prompts, inputs, instructions, or content;
h. any claim of infringement, misappropriation, privacy violation, defamation, bias, discrimination, safety failure, or regulatory non-compliance caused by your conduct or your deployment context.

Hugston may assume exclusive control of the defense of any matter subject to indemnification, and you shall cooperate fully.

15. Confidentiality of Non-Public Materials

If any part of the Release is non-public, access-restricted, pre-release, confidential, or shared under limited access, you shall keep it confidential and shall not disclose it without written authorization from Hugston.

16. Termination

16.1. This License begins upon your first access to or use of the Release.

16.2. Hugston may terminate, suspend, restrict, or revoke this License or your access to the Release immediately, with or without notice, for any reason or no reason, including legal risk, compliance risk, reputational risk, operational risk, or suspected breach.

16.3. Upon termination, you must immediately cease use of the Release and, upon request, delete or destroy all copies of Hugston’s contributions in your possession or control, except to the extent retention is legally required.

16.4. Termination does not affect any rights or obligations that by their nature should survive, including ownership, disclaimers, limitations of liability, indemnification, restrictions, confidentiality, governing law, and enforcement rights.

17. Trademarks and Branding

17.1. “Hugston,” associated logos, marks, model names, branding, trade dress, and identifiers are and remain the exclusive property of Hugston or its licensors.

17.2. This License grants no trademark license.

17.3. You may not use Hugston’s name, brand, or logos in any way that suggests endorsement, affiliation, sponsorship, certification, or origin without prior written consent.

18. Audit, Enforcement, and Equitable Relief

18.1. You shall maintain records sufficient to demonstrate compliance with applicable licenses if your use, distribution, or commercialization of the Release could reasonably create legal obligations.

18.2. Hugston may enforce this License by any lawful means.

18.3. You acknowledge that unauthorized use or misrepresentation concerning Hugston’s contributions may cause irreparable harm for which monetary damages may be inadequate, and Hugston may seek injunctive or equitable relief where permitted by law.

19. Export Control and Sanctions

You shall not use, export, re-export, transfer, release, or make available the Release in violation of any applicable export control, trade, or sanctions law or regulation.

You represent that you are not prohibited from accessing or using the Release under applicable law.

20. Governing Law and Venue

This License shall be governed by and construed under the laws of Sweden, excluding conflict-of-law rules.

Any dispute arising out of or relating to this License or the Release shall be brought exclusively in the courts located in [INSERT VENUE], except that Hugston may seek injunctive or equitable relief in any court of competent jurisdiction.

21. Class Action Waiver; Jury Trial Waiver

To the maximum extent permitted by law:
a. no dispute may be brought on a class, representative, collective, or consolidated basis; and
b. each party waives any right to trial by jury.

22. Severability

If any provision of this License is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force, and the invalid provision shall be enforced to the maximum extent permitted by law consistent with its purpose.

23. No Waiver

No failure or delay by Hugston in exercising any right under this License shall operate as a waiver.

24. Assignment

You may not assign, transfer, delegate, or sublicense this License or any rights under it without prior written consent from Hugston.

Hugston may assign this License freely, including in connection with merger, acquisition, restructuring, sale of assets, or by operation of law.

25. Entire Agreement

This License constitutes the entire agreement between you and Hugston concerning Hugston’s contributions to the Release, except where separate written terms expressly apply.

Any additional or conflicting terms proposed by you are rejected unless expressly agreed in writing by Hugston.
