This Decompute Non-Commercial Research License governs access to and use of Nebula-S-SVMS2-3B, including the model weights, checkpoints, adapters, quantized versions, merged versions, tokenizer files, configuration files, documentation, sample code, and any related materials made available by Decompute Inc. under this license.

By downloading, accessing, copying, using, or requesting access to Nebula-S-SVMS2-3B, you agree to this License. If you do not agree to this License, you may not access, download, copy, use, or retain Nebula-S-SVMS2-3B.

This is a restricted-access non-commercial research release. It is not an open-source release.

## 1. Definitions

**“Decompute”** means Decompute Inc.

**“Model”** means Nebula-S-SVMS2-3B and all associated weights, parameters, checkpoints, adapters, quantized versions, merged versions, tokenizer files, configuration files, documentation, sample code, and related materials.

**“You”** or **“Licensee”** means the individual or entity accessing or using the Model.

**“Non-Commercial Research Use”** means use solely for personal study, academic research, benchmarking, security evaluation, internal technical evaluation, or non-commercial experimentation, where the use is not intended for commercial advantage, monetary compensation, revenue generation, product development, paid services, customer-facing deployment, business operations, or competitive commercial benefit.

**“Commercial Use”** includes, without limitation, using the Model or Model outputs in connection with revenue-generating activity, paid products, paid APIs, consulting services, enterprise workflows, commercial SaaS, customer support, advertising, lead generation, internal business automation, investment analysis, robotics deployment, product development, or any activity intended to provide commercial advantage.

**“Derivative Model”** means any model, checkpoint, adapter, quantized model, merged model, fine-tuned model, distilled model, synthetic-data-trained model, or other artifact created from, trained on, adapted from, initialized from, or substantially derived from the Model or its outputs.

## 2. Limited License Grant

Subject to your full compliance with this License, Decompute grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Model solely for Non-Commercial Research Use.

No ownership rights are transferred. Decompute retains all rights, title, and interest in and to the Model.

All rights not expressly granted under this License are reserved by Decompute.

## 3. Prohibited Uses

You may not, directly or indirectly:

1. Use the Model for any Commercial Use.

2. Sell, rent, lease, sublicense, host, provide access to, or otherwise monetize the Model.

3. Use the Model, Model outputs, or any Derivative Model in any paid product, paid service, commercial API, enterprise workflow, customer-facing application, production system, or revenue-generating system.

4. Redistribute, publish, upload, mirror, share, transfer, or make available the Model to any third party, including through Hugging Face, GitHub, GitLab, BitTorrent, cloud storage, package registries, container images, APIs, private repositories, or public repositories.

5. Distribute modified, merged, quantized, converted, fine-tuned, distilled, or otherwise derivative versions of the Model.

6. Use the Model or Model outputs to train, fine-tune, improve, benchmark for marketing purposes, evaluate for commercial claims, or distill any model that is used or intended for Commercial Use.

7. Use the Model to create or improve a competing commercial model, product, service, or platform.

8. Remove, alter, obscure, or bypass any copyright, trademark, attribution, license, access-control, watermark, metadata, or ownership notice.

9. Use the Model in violation of applicable law or regulation.

10. Use the Model to develop, deploy, or support systems for surveillance, biometric identification, weapons, harmful automation, fraud, malware, deception, unlawful activity, or other harmful use.

## 4. No Redistribution

This License does not grant any right to distribute the Model.

Each user must obtain access directly from Decompute or an authorized Decompute distribution channel and must separately agree to this License.

For clarity, you may not share the Model with teammates, contractors, affiliates, subsidiaries, customers, investors, external collaborators, or any other third party unless Decompute gives prior written permission.

This restriction applies to the original Model and to all modified, merged, converted, quantized, fine-tuned, distilled, or derivative versions of the Model.

## 5. Outputs

You may use outputs generated by the Model only for Non-Commercial Research Use.

You may not sell, license, publish commercially, use in production, use in customer-facing systems, use in paid services, use in enterprise workflows, or otherwise monetize outputs generated by the Model.

You are solely responsible for evaluating the accuracy, safety, legality, and suitability of any outputs.

## 6. Evaluation by Companies

Commercial entities may use the Model only for limited internal, non-production evaluation to determine whether to request a separate commercial license from Decompute.

Such evaluation may not be used to generate revenue, serve customers, improve a commercial model, support product development, power internal business operations, or support any production workload.

Any commercial, production, customer-facing, revenue-generating, or competitive use requires a separate written commercial license from Decompute.

## 7. Commercial Licensing

No commercial rights are granted under this License.

Any Commercial Use requires a separate written commercial license from Decompute.

Absent a separate signed agreement with Decompute, no commercial rights are granted.

## 8. Attribution

Any permitted academic or research publication that discusses results obtained using the Model must identify the Model as:

**Nebula-S-SVMS2-3B by Decompute Inc., licensed under the Decompute Nebula-S-SVMS2-3B Non-Commercial Research License v1.0.**

Use of the Decompute name, logo, trademarks, or model name does not imply endorsement, sponsorship, partnership, or affiliation unless separately agreed in writing by Decompute.

## 9. Access Revocation and Termination

This License terminates automatically if you breach any term of this License.

Upon termination, you must immediately stop using the Model and delete all copies of the Model, including all weights, checkpoints, adapters, quantized versions, merged versions, converted versions, fine-tuned versions, local copies, cloud copies, cached files, and Derivative Models.

Decompute may revoke access to the Model at any time, including for suspected misuse, breach of this License, legal risk, security risk, or violation of Decompute’s acceptable use policies.

The sections concerning ownership, prohibited uses, no redistribution, outputs, attribution, termination, warranty disclaimers, limitation of liability, and governing law survive termination.

## 10. No Warranty

The Model is provided “as is” without warranties of any kind, whether express, implied, statutory, or otherwise.

Decompute disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, safety, reliability, availability, and error-free operation.

Decompute does not guarantee that the Model will be accurate, safe, secure, reliable, unbiased, lawful, or suitable for any particular use.

## 11. Limitation of Liability

To the maximum extent permitted by law, Decompute will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any lost profits, lost revenue, lost data, loss of goodwill, business interruption, or other commercial damages arising from or related to the Model or this License.

To the maximum extent permitted by law, Decompute’s total liability arising from or related to this License or the Model will not exceed one hundred U.S. dollars.

## 12. Indemnity

You agree to defend, indemnify, and hold harmless Decompute and its officers, directors, employees, contractors, affiliates, and agents from and against any claims, damages, liabilities, losses, costs, and expenses arising from or related to your access to or use of the Model, your violation of this License, your violation of law, or your use of Model outputs.

## 13. Reservation of Rights

All rights not expressly granted are reserved by Decompute.

Nothing in this License limits Decompute’s ability to offer the Model, related models, derivative models, commercial licenses, enterprise licenses, hosted services, or other products under different terms.

## 14. Governing Law

This License is governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any dispute arising from or related to this License or the Model shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
